It is what keeps capability, authority, responsibility and the conditions supporting them connected as the system grows.
WHY GOVERNANCE EXISTS
Capability and Authority
Need Conditions That Hold.
Professional capability can create significant value when it is applied appropriately.
But capability alone does not determine whether a particular application is appropriate.
Professional authority therefore needs a framework within which it can be exercised responsibly.
The Holding Discipline™ establishes that framework.
It provides the conditions through which Certification, Licensing, Licensed Assets™, Membership, Precision Intervention™ and professional deployment remain connected to the standards and responsibilities of the Discipline.
Governance is what keeps those relationships clear.
Governance Protects More Than the System.

These protections are not intended to restrict professional capability unnecessarily.

WHAT GOVERNANCE GOVERNS
Governance Gives the Professional System
Its Conditions.
Governance within The Holding Discipline™ extends across the elements through which professional capability becomes professional practice.
It establishes and protects the conditions within which the system operates.
Governance therefore applies to:
- Certification — how demonstrated capability is recognised and maintained.
- Membership — the continuing professional environment within which participation and professional development occur.
- Licensing — the authority and scope through which recognised capability may be professionally deployed.
- Licensed Assets™ — the structured professional resources available within authorised scope.
- Precision Intervention™ — professional intervention that remains under the central authority of The Holding Discipline™.
- Professional Deployment — the application of recognised and authorised capability within the applicable professional conditions.
- Organisational Licensing — the conditions under which an organisation may operate an authorised professional practice.
- The Professional Pathway — the continuing development of capability, professional scope and contribution.
Governance Connects the Conditions.
These elements are not governed as unrelated activities.
Their relationship matters.
Certification establishes what has been demonstrated.

The applicable conditions determine:
- who may operate,
- what scope may be exercised,
- what resources may be used,
- under what conditions professional work may be undertaken,
- and where central authority remains with The Holding Discipline™.
The purpose is not to make professional practice unnecessarily restrictive.
It is to make professional authority clear enough to be exercised responsibly.
THE PRINCIPLE
Governance does not govern capability itself.
It governs the conditions within which recognised capability becomes authorised professional practice.
CERTIFICATION IS GOVERNED
Certification Recognises Capability.
Governance Protects Its Meaning.
Certification within The Holding Discipline™ is not simply an acknowledgement of participation or completion.
It establishes that the required capability has been demonstrated at an applicable level.
Governance ensures that this recognition remains connected to the standards, conditions and professional architecture of the Discipline.
Certification Establishes What Has Been Demonstrated.
Certification answers a specific question:
What capability has this professional demonstrated?
The certification level therefore establishes the basis from which the corresponding professional pathway, Membership and licensing category may develop.
Certification does not, by itself, create unrestricted professional authority.
Certification Is Governed by Defined Standards.
The Holding Discipline™ establishes the requirements through which capability may be demonstrated and recognised.
The purpose is to ensure that Certification represents demonstrated capability, rather than simply participation in a learning experience.
The applicable Certification level therefore matters.
It determines the professional capability that has been recognised and the licensing category for which the professional may subsequently become eligible.
Certification and Licensing Remain Distinct.
Certification establishes what you have demonstrated.
Licensing establishes what you are authorised to deploy.
These are deliberately different functions.
A person may therefore hold Certification without holding a professional licence.
Professional authority follows the applicable Certification, Membership and licensing requirements.
Certification Remains Connected to the Professional System.
Certification does not operate independently of the wider Holding Discipline™ architecture.
It connects with:
- the applicable Membership,
- the corresponding licensing pathway,
- the professional scope that may subsequently be authorised,
- and the governance conditions under which that authority operates.
This connection helps ensure that recognised capability is not separated from the responsibility associated with professional deployment.
THE PRINCIPLE
Certification tells you what has been demonstrated.
Governance protects the meaning and integrity of that recognition.
Certification creates the basis for professional authority.
It does not create unrestricted authority by itself.
LICENSING IS GOVERNED
Professional Authority Must Remain
Within Defined Conditions.
Licensing establishes professional authority.
Governance establishes the conditions within which that authority may be exercised.
Within The Holding Discipline™, a licence is therefore not treated as unrestricted permission to practise.
It is an authorised professional scope connected to demonstrated capability, Membership, Licensed Assets™, professional responsibility and the governance of the Discipline.
Licensing Establishes What May Be Professionally Deployed.
A professional licence answers a specific question:
What is this professional authorised to deploy within The Holding Discipline™?
The answer is determined by the applicable licensing category and the conditions associated with that category.
The licence therefore connects:
- demonstrated capability,
- Certification,
- Membership,
- authorised professional scope,
- Licensed Assets™,
- and the applicable conditions of professional use.
Authority follows demonstrated capability.
A Licence Creates Defined Authority — Not Unlimited Authority.
Professional authority within The Holding Discipline™ operates within a defined scope.
That scope determines:
- what the professional may deploy,
- which Licensed Assets™ are available,
- which professional activities fall within the authorised scope,
- and which activities remain subject to additional conditions or central authority.
A licence therefore provides clarity about professional authority.
It does not remove professional responsibility.
Licensing Categories Define the Scope of Authority.
The Holding Discipline™ operates through defined licensing categories.
As demonstrated capability develops, the corresponding professional licensing scope may develop with it.
This creates a progression from:
Licensed Holding Practitioner™

Each category represents a defined level of professional authority within the system.
The progression is therefore not simply a progression in title.
It is a progression in capability, authorised scope and professional responsibility.

A professional licence does not operate independently.
Its authority remains connected to:
- the applicable Certification,
- continuing Membership,
- the Licensed Assets Package™,
- professional judgement,
- governance conditions,
- and, where applicable, the central authority of The Holding Discipline™.
This connection helps ensure that professional authority does not become separated from the capability and responsibility that support it.

Licensing establishes professional authority.
Governance establishes the conditions within which that authority may operate.
Professional judgement remains responsible for how that authority is exercised.
MEMBERSHIP IS GOVERNED
Membership Provides the Continuing Environment
in Which Professional Capability Develops.
Membership within The Holding Discipline™ is not simply an access arrangement.
It provides the continuing professional environment within which capability, participation, professional development and authorised practice can remain connected.
For licensed professionals, the applicable Membership is also a continuing condition of operating the corresponding professional licence.
Membership Connects the Professional to the Wider System.
Professional development does not end when Certification is achieved.
Nor does the professional system begin and end with Licensing.
Membership provides the continuing connection through which the professional may:
- remain part of the Holding Discipline™ ecosystem,
- continue developing capability,
- participate in the wider professional pathway,
- maintain the applicable conditions associated with professional licensing,
- and, where eligible, continue Member-Partner™ participation.
Membership therefore provides continuity, not merely access.
Professional Licensing Requires Continuing Membership.
A professional licence operates only while the required Membership and other applicable licensing conditions remain valid.
This creates an intentional relationship:
Certification
establishes demonstrated capability.
Membership
provides the continuing professional environment.
Licensing
establishes professional authority.
Governance
establishes the conditions within which that authority operates.
The purpose is to ensure that professional authority does not become detached from the continuing professional environment in which it is exercised.
Membership Is Personal and Non-Transferable.
Membership is personal to the member.
It cannot be sold, assigned, transferred or used by another person.
The rights, participation and conditions associated with a Membership therefore remain connected to the person to whom that Membership has been issued.
A person may choose not to continue Membership beyond its applicable validity period, subject to the conditions governing existing professional commitments and responsibilities.
Membership is therefore a continuing personal relationship with the professional system — not a transferable asset.
Membership Can Continue Alongside Professional Growth.
A professional does not have to disconnect from the wider Holding Discipline™ ecosystem as their professional scope develops.
The applicable Professional Membership remains part of the professional journey.
At the same time, eligible professionals may continue their Member-Partner™ participation as permitted under the applicable conditions.
This allows professional development, professional practice and wider participation to develop together.
Growth does not require disconnection.
THE PRINCIPLE
Certification establishes demonstrated capability.
Membership provides continuing professional connection.
Licensing establishes professional authority.
Governance keeps these relationships aligned.
A professional system remains trustworthy when capability, participation, authority and responsibility continue to remain connected.
LICENSED ASSETS™ ARE GOVERNED
Professional Resources Must Remain Connected
to Professional Authority.
Licensed Assets™ are structured professional resources made available within The Holding Discipline™.
They are not unrestricted materials that become permanently available simply because a professional has once accessed them.
Their availability and use are connected to the professional’s authorised scope.
Access to Licensed Assets™ Follows the Licence.
A professional’s access to Licensed Assets™ is determined by the applicable:
- Certification,
- Membership,
- licence category,
- Licensed Assets Package™,
- and conditions of professional use.
Different licensing categories therefore provide different Licensed Assets Packages™.
As authorised professional scope develops, the available asset scope may develop with it.
The resources follow the authority.
Licensed Assets™ Do Not Replace Professional Judgement.
A Licensed Asset™ provides structure.
It does not make the professional judgement required to use that structure.
The professional remains responsible for determining:
- whether an asset is appropriate,
- whether its use falls within the authorised scope,
- how it should be applied,
- and whether the applicable conditions are being met.
Access to a Licensed Asset™ therefore does not remove professional responsibility.
The resource provides structure. The professional provides judgement.
Licensed Assets™ Remain Within the Governed System.
The Holding Discipline™ does not treat its Licensed Assets™ as independent resources.
Their use remains connected to the wider professional architecture.
That means the applicable conditions may govern:
- who may use an asset,
- which professional scope applies,
- how the asset may be deployed,
- where it may be deployed,
- and the circumstances in which its use may be restricted or withdrawn.
This protects the integrity of the resources while allowing them to support professional practice.
Access Does Not Create Ownership.
Access to a Licensed Asset™ does not transfer ownership of that asset to the professional or organisation using it.
Licensed Assets™ remain part of The Holding Discipline™ professional system and remain subject to the applicable licensing and governance conditions.
The professional receives authorised access for authorised professional use.
Access is not ownership.
THE PRINCIPLE
Licensed Assets™ provide structured professional resources.
Licensing establishes the authority within which those resources may be used.
Governance establishes the conditions of that use.
Professional judgement remains responsible for their appropriate application.
The purpose is not to restrict useful resources.
It is to ensure that professional resources remain connected to the capability, authority and responsibility required to use them well.
PRECISION INTERVENTION™ IS CENTRALLY GOVERNED
Some Professional Work
Requires Central Authority.
Precision Intervention™ operates under a distinct governance structure within The Holding Discipline™.
It is directly in the name of The Holding Discipline™ and is therefore not an independently deployable professional service that a licence holder may offer entirely on their own authority.
Its purpose, assignment and execution remain subject to the central governance of The Holding Discipline™.
Precision Intervention™ Is Different From Ordinary Professional Deployment.
A professional licence may authorise defined professional deployment within the scope of the applicable licence.
Precision Intervention™ operates differently.
The Holding Discipline™ determines:
- whether a Precision Intervention™ is appropriate,
- the scope and conditions of the intervention,
- who may execute or be assigned to execute it,
- the applicable professional and governance requirements,
- and the required quality and oversight arrangements.
The authority to determine a Precision Intervention™ remains with The Holding Discipline™.
A Member-Partner™ May Generate an Opportunity.
A Member-Partner™ may identify and generate a business opportunity that may require Precision Intervention™.
Member-Partner™ participation begins at Level 00. The higher Professional Membership levels retain the applicable Member-Partner™ participation available at Level 00, subject to the conditions of the applicable level.
Accordingly, progression into Professional Membership does not require a professional to give up their Member-Partner™ participation.
However, generating the opportunity does not create an automatic right to execute the intervention.
The opportunity, once identified, remains subject to the applicable assessment and central governance of The Holding Discipline™.
This keeps business generation separate from professional authority and execution.
Generating an opportunity does not create execution authority.
Execution May Be Assigned to an Appropriately Qualified Professional.
Where The Holding Discipline™ determines that a Precision Intervention™ should proceed, execution may be undertaken or assigned to an appropriately qualified professional.
Where applicable, a qualified Holding Circle™ Member may be considered for execution.
However, eligibility for consideration does not create an automatic entitlement to assignment.
The Holding Discipline™ retains the final decision regarding assignment and execution.
Precision Intervention™ Remains in the Name of The Holding Discipline™.
Precision Intervention™ is not an independently owned service that becomes available to a professional simply because they hold a licence.
It remains directly within the authority and governance of The Holding Discipline™.
This ensures that the Discipline retains responsibility for the integrity, quality and professional conditions of interventions undertaken in its name.
Central Governance Protects the Intervention.
Central governance allows The Holding Discipline™ to consider:
- the nature of the situation,
- the capability required,
- the appropriate professional scope,
- the person or organisation being served,
- the professional best suited to the work,
- and the conditions necessary for responsible execution.
This is particularly important because Precision Intervention™ may involve circumstances requiring a level of judgement, capability and oversight beyond ordinary licensed deployment.
The intervention remains centrally governed even when professional execution is undertaken by a qualified member.
THE PRINCIPLE
Precision Intervention™ is directly in the name of The Holding Discipline™.
The Holding Discipline™ determines whether it is appropriate.
The Holding Discipline™ determines who may execute or be assigned to execute it.
A qualified Holding Circle™ Member may be considered for execution where applicable.
Central authority remains with The Holding Discipline™.
PROFESSIONAL DEPLOYMENT IS GOVERNED
Authority Creates Responsibility.
Judgement Determines How It Is Used.
A professional licence establishes what a professional is authorised to deploy.
It does not determine how every situation should be handled.
Professional deployment therefore requires the exercise of professional judgement within the applicable scope and conditions.
The Holding Discipline™ provides the framework, authority, resources and governance conditions.
The professional remains responsible for applying judgement appropriately.
Authorised Does Not Automatically Mean Appropriate.
An activity may fall within a professional’s authorised scope and still require careful consideration before it is undertaken.
The professional must consider:
- the situation,
- the people or organisation being served,
- the nature of the work,
- the capability required,
- the appropriateness of the available Licensed Assets™,
- and the conditions governing the engagement.
A licence establishes authority.
Professional judgement determines whether and how that authority should be exercised.
The Professional Remains Responsible for the Application.
The Holding Discipline™ does not make professional decisions on behalf of every licence holder.
Governance establishes the boundaries and conditions within which professional judgement operates.
Within those boundaries, the professional remains responsible for determining:
- what is appropriate,
- what is within their authorised scope,
- how the work should be undertaken,
- when additional capability or support is required,
- and when an engagement should not be undertaken.
Professional authority does not transfer professional responsibility to The Holding Discipline™.
Knowing When Not to Act Is Part of Professional Judgement.
Responsible professional practice is not defined simply by the ability to deploy a capability.
It also includes recognising when:
- the situation falls outside the authorised scope,
- the required capability is not available,
- the available resources are not appropriate,
- additional support is required,
- or the circumstances require referral, reassignment or central consideration.
Professional judgement therefore includes the judgement not to proceed when proceeding would be inappropriate.
Governance and Judgement Work Together.
Governance provides the conditions.
Professional capability provides the capacity.
Licensing provides the authority.
Licensed Assets™ provide structured resources.
Professional judgement connects them appropriately to the situation.
This is why The Holding Discipline™ does not treat governance as a substitute for professional judgement.
Nor does it treat professional judgement as a substitute for governance.
Both are necessary for responsible professional deployment.
THE PRINCIPLE
A licence establishes professional authority.
Governance establishes the conditions within which that authority operates.
Professional judgement determines how that authority is responsibly applied.
Responsible professional practice requires knowing both what you may do and what you should do.
ORGANISATIONAL LICENSING IS GOVERNED
An Organisation May Hold the Licence.
The Capability Must Still Be Present.
The Holding Discipline™ recognises that professional practice may eventually develop beyond an individual professional and into an organisation.
An organisation may therefore obtain an Organisational Licence™, subject to the applicable licensing, Certification, Membership and governance requirements.
An Organisational Licence is available only within the Level 04 licensing architecture.
The organisation holds the licence.
The required professional capability is provided by appropriately Certified professionals.
The licence does not replace the capability required to operate it.
Organisational Licensing Is Different From Individual Certification.
An organisation does not become Certified simply because it obtains an Organisational Licence.
Certification remains a recognition of capability held by an individual professional.
The Organisational Licence establishes the organisation’s authority to operate within the applicable professional scope, subject to the conditions established by The Holding Discipline™.
The two therefore remain distinct:
- Certification belongs to the individual professional.
- The Organisational Licence belongs to the organisation.
- Professional capability is demonstrated by the Certified professionals.
- Organisational authority operates through the Organisational Licence.
This distinction allows organisational professional practice to develop without confusing institutional authority with individual capability.
The Organisation Must Maintain Qualifying Professional Capability.
An organisation holding an Organisational Licence must maintain the required number of appropriately designated Level 04 Certified professionals who are available to fulfil the professional responsibilities associated with the licence.
As a general requirement, this means maintaining a minimum of two qualifying Level 04 Certified professionals.
These professionals must be appropriately associated with the organisation and recognised within the applicable governance process of The Holding Discipline™.
The requirement is continuing.
It is not merely a condition that must be satisfied when the licence is first obtained.
The organisation must continue to have the professional capability required to operate the authority it holds.
The Requirement May Be Met Through Employment or Appropriate Contractual Engagement.
The required Certified professionals do not necessarily have to be permanent employees of the organisation.
Subject to the applicable requirements, they may be:
- employees of the organisation, or
- appropriately engaged professionals working under a valid contractual or professional arrangement with the organisation.
This allows organisational licensing to remain practical as professional practices grow.
It also recognises that organisations may build capability through different professional structures while maintaining the required standard.
What matters is the continuing availability of the required demonstrated capability — not simply the form of the relationship.
A Qualifying Founder or Key Person May Satisfy the Core Requirement.
Where an organisation is led by a Partner, Founder, Co-Founder, Director or other formally recognised key person who holds the required Level 04 Certification and is appropriately designated for the organisation’s licensed professional responsibilities, The Holding Discipline™ may permit the organisation to operate with a minimum of one qualifying Level 04 Certified professional.
This provision recognises circumstances in which the Certified professional is also the person with primary responsibility for the organisation’s professional operation.
The applicable eligibility and governance requirements will determine whether this provision applies.
The exception does not remove the requirement for demonstrated Level 04 capability.
When a Designated Professional Leaves, Capability Must Be Restored.
Professional capability within an organisation can change.
A designated Certified professional may leave the organisation, end their contractual engagement or otherwise cease to fulfil the required role.
This does not necessarily result in immediate loss of the Organisational Licence.
The organisation must notify The Holding Discipline™ and restore the required professional capability through an appropriately qualified replacement.
A 15-day remediation period may apply for this purpose, subject to the applicable licensing conditions and Terms & Conditions.
The organisation may therefore:
appoint another qualifying employee,
or
engage another appropriately qualified Certified professional under an appropriate contractual arrangement.
The purpose is continuity of professional capability, rather than dependence on any particular individual.
If the Required Capability Is Not Restored, the Licence Is Suspended.
If the organisation does not restore the required professional capability within the applicable remediation period, its Organisational Licence will be suspended until the required condition has been restored and accepted in accordance with The Holding Discipline™ requirements.
During suspension, the organisation may not undertake professional deployment requiring the authority of the Organisational Licence, except where expressly permitted for the orderly completion, protection or transition of existing engagements.
The licence may return to active status once the organisation satisfies the required capability condition and completes the applicable reactivation process.
An organisational licence cannot remain active when the professional capability required to operate it is no longer present.
The Organisation Holds the Licence. The Professionals Hold the Capability.
The relationship is deliberately clear.
The organisation does not own the Certification of its professionals.
The Certified professionals do not own the organisation’s licence.
The organisation cannot transfer its licence simply because a Certified professional leaves.
And an individual professional cannot transfer their Certification to another person or organisation.
The system therefore keeps:
organisational authority,
individual capability,
professional responsibility,
and
The Holding Discipline™ governance
appropriately connected without making them interchangeable.
THE PRINCIPLE
An organisation may hold professional authority.
The authority must remain supported by demonstrated professional capability.
The organisation holds the licence.
The professionals hold the Certification.
The required capability must continue to be present for the licence to remain active.
Where capability changes, the organisation must restore the required condition or the licence may be suspended.
GOVERNANCE AND NON-TRANSFERABILITY
Professional Authority Is Personal.
Organisational Authority Is Specific.
Neither Is Freely Transferable.
The Holding Discipline™ treats professional authority as something connected to the capability, conditions and responsibilities under which it was granted.
For this reason, Membership and individual professional licensing are personal and non-transferable.
An Organisational Licence is similarly specific to the organisation to which it has been granted.
These authorities cannot simply be sold, assigned, transferred or used by another person or organisation without the applicable approval and process established by The Holding Discipline™.
Membership Is Personal and Non-Transferable.
Membership within The Holding Discipline™ belongs to the person to whom it has been granted.
It cannot be:
- sold,
- assigned,
- transferred,
- shared,
- or used by another person.
The rights, participation and conditions associated with Membership therefore remain connected to the Member.
Membership is a personal professional relationship with The Holding Discipline™ — not a transferable asset.
An Individual Licence Is Personal and Non-Transferable.
An individual professional licence is granted to a specific qualified professional on the basis of that professional’s demonstrated capability, Certification, Membership and applicable licensing conditions.
It cannot be transferred to another professional.
If a licensed professional ceases to meet the applicable conditions, the authority associated with that licence does not pass automatically to another person.
A different professional must satisfy the applicable requirements independently.
Capability may be developed by another person. Authority must be established for that person separately.
An Organisational Licence Belongs to the Organisation.
An Organisational Licence is granted to a specific organisation.
It does not belong to the individual professionals who support the organisation’s licensed capability.
Equally, those professionals cannot take the organisation’s licence with them if they leave.
If the organisation’s legal identity, ownership, structure or status changes in a manner that affects the basis on which the licence was granted, the applicable governance and licensing requirements will determine whether continued operation, reapproval or a new licensing process is required.
An organisational licence is specific to the organisation to which it is granted.
Non-Renewal Is Permitted. Abandonment of Existing Responsibility Is Not.
Membership and licensing operate for defined periods and are subject to renewal.
A professional may choose not to continue beyond the current validity period.
Choosing not to renew does not, however, remove responsibility for professional work already undertaken, accepted or assigned.
Any such work must be appropriately completed, concluded, transferred or otherwise resolved in accordance with the applicable professional, contractual and governance requirements.
The same principle applies where an organisational licence ceases to remain active.
The end of future authority does not automatically end responsibility for commitments already undertaken.
Professional Responsibility Continues Until Existing Commitments Are Appropriately Resolved.
